USA DOOR TECH, LLC AUTHORIZED DISTRIBUTOR POLICY FOR THE UNITED STATES

Effective Date: October 1, 2025

This USA DOOR TECH, LLC Authorized Distributor Policy (“Policy”) is issued by USA DOOR TECH, LLC (“Our”, "We", "Us", "Company") and applies to Authorized Distributors of our related products ("products" or "tools") in the United States of America.

By purchasing Products from us for retail sale, you (“Distributor”) agree to adhere to the following terms:

1. Authorized Customers

Distributor is only authorized to sell products to customers in the United States. If Distributor sells or ships products outside the USA, all warranties on those exported products will be null and void.

2. Online Sales

Distributor is only authorized to sell and promote products in a physical location and/or through their own company website. Distributors are not allowed to use third-party online storefronts, like Amazon and eBay, without our prior written consent.

3. Business Ethics

Distributor shall conduct business in a reasonable and ethical manner at all times and shall not engage in any deceptive, misleading, or unethical practices. Distributor shall not make any warranties or representations concerning our products except as expressly authorized by USA Door Tech. Distributor shall comply with all laws, rules, regulations, and policies applicable to business, marketing, and the sale of our products. Distributor shall represent our products in a professional manner and refrain from any conduct that could be detrimental to the reputation of USA Door Tech or our products.

4. Intellectual Property

USA Door Tech owns all proprietary rights to our brands, names, logos, trademarks, copyrights, patents, and other intellectual property related to our products. Distributor is granted a limited, non-exclusive, non-transferable, revocable license to use our intellectual property solely for purposes of marketing and selling our products.

We reserve the right to review and approve, at our sole discretion, Distributor’s use or intended use of our intellectual property at any time, without limitation. In marketing the Products, Distributor shall only use images of Products either supplied by or authorized by us and shall ensure that all product images and descriptions are accurate.

Distributor shall not create, register, or use any domain name, social media screenname, or mobile application name that contains our product names or trademark, nor a misspelling or confusingly similar variation of our product name or trademark. Our logos, images, and artwork may not be used in social media usernames, handles, or similar aspects for the Distributor’s social media accounts.

5. Agreement Termination

USA Door Tech may terminate Distributor’s status as an Authorized Distributor with written or electronic notice.

6. Distributor Pricing & Orders

USA Door Tech distributors enjoy a 30% discount. Distributors must buy at least 15 products at a time to qualify.

7. Policy Modification

We reserve the right to modify this Policy at any time. Changes will be posted on this page and indicated by an updated “Effective Date.” Distributor's purchase of our products after changes are posted constitutes an acceptance of the revised Policy.
